WeChat terms and conditions

This Agreement is entered into between Sinch and Customer and are together referred to as the “Parties” and each a “Party”.

The account creator represents and confirms to Sinch that you are the duly authorised representative and signatory of the Customer to act for and on behalf of the Customer to enter into the Agreement and accepts the General Terms of Services and the Exhibits. All information provided is complete and accurate. The Agreement shall be effective on the date at which time the account is created and verified

This Agreement is governed by and incorporates the following documents in effect as of the Effective Date.  All documents are listed in order of precedence, and collectively referred to as the “Agreement”:

Unless expressly defined in the specific document or a contrary intention appears, capitalised terms defined in the Agreement have the meaning set out in the GTC. This Agreement shall apply to any Services that Customer self-provisions through its access to  https://dashboard.sinch.com.

Ongoing Term. The Agreement is in force until terminated by a Party (the “Term”). The Agreement may be terminated by each Party by giving ninety (90) days advance written notice to the other Party. The aforementioned notice period for termination by the Customer shall be subject to the Customer’s full payment of any and all fixed fees regarding Services ordered by Customer with a longer notice period than ninety (90) days (if and as applicable, as set out in an Order Form or Change Order). Sinch reserves the right to increase its fees on an annual basis with reference to the labor cost index.

Service(s) Termination: Upon termination of any Service, all fees incurred relation to the terminated Service(s) shall become immediately payable and remaining fees charged until the end of the term.

SINCH may modify any fees in its sole discretion upon written notice in accordance with the terms of Section 13.5 of the GTC (Notices). The parties agree that for the purposes of notice under this Section, such notice may be given by email and that notice shall be deemed to have been given once the email is dispatched from the SINCH email server.

WeChat CHANNEL

The Customer acknowledges and agrees that WeChat Channel is provided through Conversation API (“Service”). Customer agrees that Conversation API may be ordered by Customer from Sinch and is subjected to a separate order and fee payable by Customer. Sinch will provide Customer with a production messaging capability, enabling business messaging via WECHAT Channel platform through the Conversation API and a business profile, both in the name of the Customer or a brand owned by Customer. Each Conversation API shall be provisioned with a maximum throughput of 20 messages per second.  

Terms of Service  

The provision of the Service is always subject to Customer’s registration of an account for WECHAT Channel directly with WECHAT Corporation and accepting the terms and policies by WECHAT and the same can be found here: Create an Account｜WECHAT for Business | WECHAT for Business (WeChatbiz.com), and   Customer’s unlimited and unrestricted acceptance of all WECHAT Channel terms and policies, can be found here:

(c) Weixin Official Account Admin Platform – Terms of Service available at: 微信公众平台 (qq.com); and 

(d) Weixin Channels Operation Standards available at: Weixin Channels Operation Standards (qq.com). 

Data protection

The Service cannot be used for the Processing of Personal Data related to Special Categories of Personal Data (as defined within the Data Processing Agreement that is or will be concluded between parties). Sinch may make this service available in the future Customer acknowledges and agrees that the Service requires the sub-processors that can be found at: https://sinch.com/data-protection-agreement/sub-processors/.  Whenever the Customer decides to use a third-party customer care platform, the customer is fully responsible and accountable for the data protection on the third-party platform and the interfaces between the Sinch products and the third-party-platform.   

Customer further agrees that the Service connects with any channels through the Sinch Conversation API service. In respect of the Conversation API, the standard retention period for conversation data applied by Sinch is 180 days. The standard retention time for contact data is indefinite. Customer understands that this is part of the functionality of the service.
