<\/strong>
1. O uso de intelig\u00eancia artificial generativa associada \u00e0s Solu\u00e7\u00f5es<\/em> da Sinch<\/em><\/strong>
1.1 IA.<\/strong> As Solu\u00e7\u00f5es<\/strong> ou qualquer parte delas podem ser desenvolvidas ou usar intelig\u00eancia artificial (IA<\/strong>) generativa, aprendizado de m\u00e1quina ou tecnologias semelhantes (“Componentes de IA<\/strong>“) e podem incorrer em custos adicionais para o Cliente<\/strong>, inclusive pela celebra\u00e7\u00e3o de SoW<\/strong> adicionais, se necess\u00e1rio. Se voc\u00ea usar os Componentes de IA<\/strong>, os seguintes termos ser\u00e3o aplic\u00e1veis.
1.11 Input e Output<\/em> de IA<\/em>.<\/strong> O Cliente<\/strong> \u00e9 o \u00fanico respons\u00e1vel por quaisquer dados, textos, imagens ou outros conte\u00fados carregados ou enviados aos Componentes de IA<\/strong> (“Input<\/em>“) e pelos dados, textos, imagens ou outros conte\u00fados gerados pelos Componentes de IA<\/strong> com base no Input<\/strong><\/em> do Cliente<\/strong> (“Output<\/em>“). O Output<\/strong><\/em> gerado pelos Componentes de IA<\/strong> nem sempre \u00e9 correto, preciso, confi\u00e1vel e\/ou n\u00e3o ofensivo. O Cliente<\/strong> \u00e9 o \u00fanico respons\u00e1vel por revisar, avaliar e verificar de forma independente todas os Outputs<\/em> antes de us\u00e1-los, compartilh\u00e1-los ou confiar neles.
1.12 O CLIENTE reconhece e concorda que:<\/strong>
(a) O CLIENTE \u00e9 exclusivamente respons\u00e1vel por assegurar que os outputs, quando apresentados aos Usu\u00e1rios Finais no contexto do chatbot, n\u00e3o constituam comunica\u00e7\u00e3o ou promo\u00e7\u00e3o n\u00e3o autorizada nos termos dos regulamentos setoriais aplic\u00e1veis \u00e0 sua atividade, incluindo, a t\u00edtulo ilustrativo e n\u00e3o exaustivo, regulamentos de publicidade farmac\u00eautica, normas de comunica\u00e7\u00e3o financeira, regulamenta\u00e7\u00f5es de servi\u00e7os de sa\u00fade, ou quaisquer outras normas setoriais espec\u00edficas;
1.13 A SINCH n\u00e3o ter\u00e1 qualquer responsabilidade pela precis\u00e3o, completude ou adequa\u00e7\u00e3o t\u00e9cnica dos outputs gerados pelos Componentes de IA, nem por quaisquer danos ou preju\u00edzos decorrentes da confian\u00e7a de um Usu\u00e1rio Final ou do pr\u00f3prio Cliente em tais outputs para fins de tomada de decis\u00e3o em qualquer \u00e1rea de atua\u00e7\u00e3o profissional ou regulada.
1.14 Restri\u00e7\u00f5es do Usu\u00e1rio.<\/strong> O Cliente n\u00e3o usar\u00e1, direta ou indiretamente, os Componentes de IA: (i) para fazer engenharia reversa, descompilar, descobrir ou extrair quaisquer componentes subjacentes dos modelos, algoritmos e sistemas; (ii) desenvolver seus pr\u00f3prios produtos, servi\u00e7os, recursos ou tecnologia de IA, ou quaisquer modelos ou tecnologia de aprendizado de m\u00e1quina; (iii) enganar qualquer pessoa de que um Output foi gerado por humanos; ou (iv) de qualquer maneira que viole as leis e regulamentos aplic\u00e1veis. Sem preju\u00edzo das demais restri\u00e7\u00f5es previstas neste Contrato, o CLIENTE n\u00e3o utilizar\u00e1 os Componentes de IA para fins discriminat\u00f3rios, para gerar conte\u00fado que viole direitos de terceiros, ou de qualquer forma que possa causar danos a indiv\u00edduos ou grupos em raz\u00e3o de ra\u00e7a, etnia, g\u00eanero, orienta\u00e7\u00e3o sexual, religi\u00e3o, nacionalidade, defici\u00eancia ou qualquer outra caracter\u00edstica protegida pela legisla\u00e7\u00e3o aplic\u00e1vel.
1.15 IA de terceiros<\/strong>. Os Componentes de IA poder\u00e3o utilizar modelos e servi\u00e7os de intelig\u00eancia artificial fornecidos por terceiros (“Provedores de IA de Terceiros”), incluindo, mas n\u00e3o se limitando a, Google LLC, Anthropic PBC, OpenAI LP, Amazon Web Services, Microsoft Corporation, ou outros provedores selecionados pela SINCH a seu exclusivo crit\u00e9rio t\u00e9cnico.
(a) Quando da assinatura do presente Contrato fica estabelecido que os Componentes de IA utilizam modelos e servi\u00e7os de IA fornecidos pela Google LLC (“Google”) por meio do Google Cloud Plataform (“IA de Terceiros”) ficando o uso pelo CLIENTE sujeito aos Termos de Servi\u00e7o da Google Cloud Platform ent\u00e3o vigentes, dispon\u00edveis em https:\/\/cloud.google.com\/terms?hl=pt-br, e aos Termos Espec\u00edficos de Servi\u00e7o da Google Cloud Platform, dispon\u00edveis em https:\/\/cloud.google.com\/terms\/service-terms, incluindo quaisquer termos de processamento de dados e seguran\u00e7a aplic\u00e1veis (coletivamente, os “Termos Google”), conforme Anexo 3.
(b) O Cliente reconhece que o Input e o Output, incluindo os Dados do Cliente, conforme definido no GTC, ser\u00e3o compartilhados e processados pelo(s) provedor(es) de IA de Terceiros para permitir o uso de Componentes de IA pelo Cliente.
(c) A SINCH poder\u00e1, a qualquer tempo, substituir, adicionar ou descontinuar Provedores de IA de Terceiros, mediante notifica\u00e7\u00e3o pr\u00e9via ao CLIENTE por escrito com 30 (trinta) dias de anteced\u00eancia. O uso dos Componentes de IA pelo CLIENTE est\u00e1 sujeito aos termos e condi\u00e7\u00f5es ent\u00e3o vigentes dos respectivos Provedores de IA de Terceiros, conforme disponibilizados publicamente em seus websites ou comunicados pela SINCH. O CLIENTE reconhece e concorda que \u00e9 sua responsabilidade revisar e cumprir com tais termos. A lista atualizada dos Provedores de IA de Terceiros e os links para seus respectivos termos de servi\u00e7o ser\u00e3o mantidos pela SINCH e disponibilizados ao CLIENTE mediante solicita\u00e7\u00e3o.
(d) A Sinch n\u00e3o garante a disponibilidade de IA de Terceiros. Eventuais per\u00edodos de indisponibilidade, degrada\u00e7\u00e3o de desempenho, lat\u00eancia ou falhas decorrentes da IA de Terceiros n\u00e3o ser\u00e3o considerados para fins de c\u00e1lculo de n\u00edveis de servi\u00e7o (SLA) ou cr\u00e9ditos de servi\u00e7o, e a SINCH n\u00e3o ser\u00e1 respons\u00e1vel por quaisquer danos, perdas ou preju\u00edzos resultantes de tal indisponibilidade ou falha.
(e) Caso o CLIENTE possua restri\u00e7\u00f5es regulat\u00f3rias, contratuais ou de pol\u00edtica interna que impe\u00e7am o uso de determinado Provedor de IA de Terceiros, o CLIENTE dever\u00e1 notificar a SINCH por escrito no prazo de [X] dias ap\u00f3s receber comunica\u00e7\u00e3o sobre altera\u00e7\u00e3o de provedor. A SINCH envidar\u00e1 esfor\u00e7os comercialmente razo\u00e1veis para acomodar tais restri\u00e7\u00f5es, podendo, contudo, rescindir os Componentes de IA afetados caso a acomoda\u00e7\u00e3o n\u00e3o seja tecnicamente ou comercialmente vi\u00e1vel.
1.16 Propriedade e Direitos.<\/strong> O Cliente<\/strong> ter\u00e1 o direito de usar o Output<\/strong><\/em> de acordo com os termos do Contrato e todas as leis aplic\u00e1veis. O Cliente<\/strong> concorda que o Output<\/strong><\/em> pode n\u00e3o ser \u00fanico e outros usu\u00e1rios podem receber o Output<\/strong><\/em> semelhante ao usar os Componentes de IA<\/strong> da Sinch. Al\u00e9m do direito de usar tal Output, o Cliente<\/strong> n\u00e3o manter\u00e1 nenhum direito de propriedade sobre tal Output. A Sinch e\/ou o provedor de IA<\/strong> de Terceiros ret\u00eam toda a propriedade dos Componentes de IA<\/strong>, incluindo, mas n\u00e3o se limitando a todos os algoritmos ou modelos e resultados agregados do desenvolvimento dos Componentes de IA<\/strong>.
1.17 Isen\u00e7\u00e3o de Responsabilidade da IA.<\/strong> Os Componentes de IA<\/strong> s\u00e3o fornecidos “no estado em que se encontram” e “conforme dispon\u00edveis”. A Sinch n\u00e3o oferece garantias, expressas ou impl\u00edcitas, em rela\u00e7\u00e3o \u00e0 precis\u00e3o, confiabilidade, disponibilidade, tempos de resposta ou adequa\u00e7\u00e3o dos Componentes de IA<\/strong>, Input<\/strong><\/em> ou Output. O Cliente<\/strong> \u00e9 o \u00fanico respons\u00e1vel pelo uso dos Componentes de IA<\/strong> por quaisquer terceiros aos quais forne\u00e7a acesso, incluindo seus clientes e funcion\u00e1rios.
1.18 Suspens\u00e3o.<\/strong> A Sinch<\/strong> poder\u00e1 suspender imediatamente o acesso do Cliente<\/strong> aos Componentes de IA em caso de uso em desacordo com as restri\u00e7\u00f5es do item 1.1.3 acima, com as demais condi\u00e7\u00f5es estabelecidas neste contrato e\/ou com os Termos Google ou demais Termos dos provedores de IA de Terceiros ou com a legisla\u00e7\u00e3o aplic\u00e1vel.
1.19 Uso da IA para fins pr\u00f3prios da Sinch.<\/strong> Independentemente dos Componentes de IA utilizados no chatbot ou qualquer outro produto ou servi\u00e7o, a SINCH poder\u00e1 utilizar sistemas de IA ou funcionalidades habilitadas por IA que estejam incorporadas em softwares e ferramentas de neg\u00f3cios convencionais utilizados pela Sinch em suas opera\u00e7\u00f5es di\u00e1rias, desde que tais ferramentas operem dentro do ambiente seguro da Sinch, sejam utilizadas exclusivamente para apoiar os processos de trabalho internos da Sinch e n\u00e3o sejam utilizadas para treinar sistemas de IA com os dados do Cliente. Para fins de clareza, tal uso n\u00e3o requer consentimento pr\u00e9vio por escrito do Cliente.
A Sinch poder\u00e1 utilizar sistemas de IA para fins operacionais, incluindo monitoramento de sistemas e redes e detec\u00e7\u00e3o de fraudes e abusos, desde que tal uso esteja sujeito aos controles padr\u00e3o de seguran\u00e7a da informa\u00e7\u00e3o da Sinch e n\u00e3o envolva o uso dos dados do Cliente para treinar sistemas de IA. Para fins de clareza, tal uso n\u00e3o requer consentimento pr\u00e9vio por escrito do Cliente.
AI Terms of Use<\/strong>
1. The use of generative artificial intelligence associated with Sinch Solutions<\/em><\/strong>
1.1 AI.<\/strong> The Solutions<\/strong> or any part thereof may be developed by or use generative artificial intelligence (AI<\/strong>), machine learning, or similar technologies (“AI Components<\/strong>“) and may incur additional costs to Customer<\/strong>, including by entering into additional SoW<\/strong> if necessary. If you use the AI Components<\/strong>, the following terms will apply.
1.11 AI Input<\/em> and Output<\/em>.<\/strong> Customer<\/strong> is solely responsible for any data, text, images, or other content uploaded or submitted to the AI Components<\/strong> (“Input<\/em>“) and for the data, text, images, or other content generated by the AI Components<\/strong> based on Customer<\/strong> Input<\/strong><\/em> (“Output<\/em>“). The Output<\/strong><\/em> generated by AI Components<\/strong> is not always correct, accurate, reliable, and\/or non-offensive. Customer<\/strong> is solely responsible for independently reviewing, evaluating, and verifying all Outputs<\/em> before using, sharing, or relying on them.
1.12 CUSTOMER acknowledges and agrees that:<\/strong> CUSTOMER is exclusively responsible for ensuring that outputs, when presented to End Users in the context of the chatbot, do not constitute unauthorized communication or promotion under the sectoral regulations applicable to its activities, including, by way of illustration and not limitation, pharmaceutical advertising regulations, financial communication standards, healthcare services regulations, or any other specific sectoral rules;
1.13 SINCH shall have no liability for the accuracy, completeness, or technical adequacy of the outputs generated by the AI Components, nor for any damages or losses arising from reliance by an End User or Customer itself on such outputs for decision-making purposes in any professional or regulated field.
1.14 User Restrictions.<\/strong> Customer<\/strong> will not use, directly or indirectly, the AI Components<\/strong>: (i) to reverse engineer, decompile, discover, or extract any underlying components of the models, algorithms, and systems; (ii) develop its own AI<\/strong> products, services, features, or technology, or any machine learning models or technology; (iii) mislead any person that an Output<\/strong><\/em> was generated by humans; or (iv) in any manner that violates applicable laws and regulations. Without prejudice to the other restrictions set forth in this Agreement, CUSTOMER shall not use the AI Components for discriminatory purposes, to generate content that violates third-party rights, or in any manner that may cause harm to individuals or groups on the basis of race, ethnicity, gender, sexual orientation, religion, nationality, disability, or any other characteristic protected by applicable law.
1.15 Third-party AI.<\/strong> The AI Components may use AI models and services provided by third parties (“Third-Party AI Providers”), including, but not limited to, Google LLC, Anthropic PBC, OpenAI LP, Amazon Web Services, Microsoft Corporation, or other providers selected by SINCH at its sole technical discretion.
(a) As of the date of execution of this Agreement, it is established that the AI Components<\/strong> use AI models and services provided by Google LLC (“Google”) through the Google Cloud Platform (“Third-Party AI”), and CUSTOMER’s use is subject to the then-current Google Cloud Platform Terms of Service, available at https:\/\/cloud.google.com\/terms?hl=pt-br<\/a>, and the Google Cloud Platform Service Specific Terms, available at https:\/\/cloud.google.com\/terms\/service-terms<\/a>, including any applicable data processing and security terms (collectively, the “Google Terms”), as per Exhibit 3.
(b) Customer<\/strong> acknowledges that the Input<\/strong><\/em> and Output, including Customer<\/strong> Data, as defined in the GTC, will be shared and processed by the Third-Party AI<\/strong> provider(s) to enable Customer<\/strong>‘s use of AI Components<\/strong>.
(c) SINCH may, at any time, replace, add, or discontinue Third-Party AI Providers, upon prior written notice to CUSTOMER with 30 days’ advance notice. CUSTOMER’s use of the AI Components is subject to the then-current terms and conditions of the respective Third-Party AI Providers, as publicly made available on their websites or communicated by SINCH. CUSTOMER acknowledges and agrees that it is its responsibility to review and comply with such terms. The updated list of Third-Party AI Providers and links to their respective terms of service shall be maintained by SINCH and made available to CUSTOMER upon request.
(d) Sinch does not guarantee the availability of Third-Party AI<\/strong>. Any periods of unavailability, performance degradation, latency, or failures arising from the Third-Party AI shall not be considered for purposes of calculating service levels (SLA) or service credits, and SINCH shall not be liable for any damages, losses, or harm resulting from such unavailability or failure.
(e) If CUSTOMER has regulatory, contractual, or internal policy restrictions that prevent the use of a particular Third-Party AI Provider, CUSTOMER shall notify SINCH in writing as soon as reasonably practicable, and in any event no later than five (5) business days after receiving communication regarding a provider change. SINCH shall use commercially reasonable efforts to accommodate such restrictions; however, SINCH may terminate the affected AI Components if accommodation is not technically or commercially feasible.
1.16 Ownership and Rights.<\/strong> The Customer<\/strong> shall be entitled to use the Output<\/strong><\/em> in accordance with the terms of the Agreement and all applicable laws. Customer<\/strong> agrees that the Output<\/strong><\/em> may not be unique and other users may receive the similar Output<\/strong><\/em> when using the AI Components<\/strong> of Sinch. Other than the right to use such Output, Customer<\/strong> will retain no ownership rights in such Output. Sinch and\/or the Third-Party AI<\/strong> provider retain all ownership of the AI Components<\/strong>, including but not limited to all algorithms or models and aggregate results from the development of the AI Components<\/strong>.
1.17 AI Disclaimer.<\/strong> The AI Components<\/strong> are provided on an “as is” and “as available” basis. Sinch makes no warranties, express or implied, regarding the accuracy, reliability, availability, response times, or suitability of the AI Components<\/strong>, Input<\/strong><\/em> or Output. Customer<\/strong> is solely responsible for the use of the AI Components<\/strong> by any third parties to which it provides access, including its customers and employees.
1.18 Suspension.<\/strong> Sinch<\/strong> may immediately suspend Customer<\/strong>‘s access to the AI Components in the event of use in breach of the restrictions set forth in item 1.1.3 above, the other conditions established in this Agreement, and\/or the Google Terms or other terms of Third-Party AI Providers, or applicable law.
1.19 Use of AI for Sinch’s own purposes.<\/strong> Regardless of the AI Components used in the chatbot or any other product or service, SINCH may use AI systems or AI-enabled functionalities that are embedded in conventional software and business tools used by Sinch in its daily operations, provided that such tools operate within Sinch’s secure environment, are used exclusively to support Sinch’s internal work processes, and are not used to train AI systems with Customer’s data. For the avoidance of doubt, such use does not require prior written consent from Customer.
Sinch may use AI systems for operational purposes, including system and network monitoring and fraud and abuse detection, provided that such use is subject to Sinch’s standard information security controls and does not involve the use of Customer’s data to train AI systems. For the avoidance of doubt, such use does not require prior written consent from Customer.
